Calling Home, LLC Terms of Service

These Terms of Service are a legal contract between you and Calling Home, LLC, a Florida limited liability company (“Calling Home”) and govern your use of the Site and any related services provided by Calling Home. We provide the Site to you expressly subject to these Terms of Service, together with our Privacy Policy, Cookie Policy and Live Event (as defined below) guidelines each as in effect from time to time (collectively, the “Terms”).As used in these Terms, “Site” means: (i) the website located at https://callinghome.co and any future affiliated website(s), including all webpages on such websites; (ii) the Live Events, podcast episodes, videos, audio files, scripts, newsletters, articles, documents, photos and other content made available to you, on a paid or non-paid basis, for your informational and instructional use; and (iii) any current or future public forum(s) hosted on, or as part of, the Site.

By accessing the Site, you agree to abide by these Terms and to comply with all applicable laws and regulations. If you do not agree with these Terms, you are prohibited from using or accessing the Site or using any other services provided by Calling Home.

Calling Home reserves the right to review and amend any of these Terms at our sole discretion. Upon doing so, we will update the Terms and any associated webpages. Any changes to these Terms will take effect immediately from the date of publication. By continuing to use the Calling Home Site after any changes come into effect, you agree to the revised Terms; if you do not agree with any of the revised Terms, you must stop using the Site.

Limitations of Use

The Site may be accessed and used only by individuals who can form legally binding contracts under applicable laws, and are not barred from using the Site under applicable laws or by Calling Home. By using the Site, you represent that you meet all of these eligibility requirements.

By using the Site or attending or participating in our Live Events or other events, you further acknowledge and agree on behalf of yourself, your users, and other parties that (a) you will conduct yourself in a productive and respectful manner and otherwise in accordance with these Terms, and (b) you will not:

  • modify, copy, prepare derivative works of, decompile, or reverse engineer any materials and software contained on the Site;
  • remove any copyright or other proprietary notations from any materials and software on the Site;
  • transfer the materials to another person or "mirror" the materials on any other server;
  • knowingly or negligently use the Site or any of its associated services in a way that abuses or disrupts our networks or any other service Calling Home provides;
  • use the Site or its associated services to transmit or publish any harassing, indecent, obscene, fraudulent, or unlawful material;
  • use the Site or its associated services in violation of any applicable laws or regulations;
  • use the Site in conjunction with sending unauthorized advertising or spam, including advertising or spam regarding any offered products or services, or the need for any products or services, regardless of whether you are doing so on a professional or personal basis;
  • harvest, collect, or gather user data without the user’s consent; or
  • use the Site or its associated services in such a way that may infringe the privacy, intellectual property rights, or other rights of third parties.

If we become aware of Member Content (as defined below) that is inappropriate or does not otherwise comply with these Terms, on the Site or conduct at one of our Live Events, we reserve the right to investigate and take appropriate action, which may include temporary or permanent suspension from our Site or, in the case of a Live Event, removal ofany participant whose comments or behavior are deemed to be inappropriate or disruptive.

Notwithstanding any of the foregoing, Calling Home does not control the Member Content or conduct of other users of our platform. We are not required to monitor, police, or remove any Member Content or conduct, and we assume no liability for any such Member Content or conduct. Additionally, we are not a party to any communications or arrangements made among users through the Site. We do not conduct or require background checks on users, and we do not attempt to verify the truth or accuracy of statements made by users. We make no representations or warranties concerning the conduct or Member Content of any users or their interactions with you.

Participation in Live Events

(a) Live events, including, but not limited to, our Open House and Overthinkers Anonymous groups and Q&A sessions (“Live Events”), are designed to bring users together around a topic of shared interest. Notwithstanding the foregoing, and in accordance with the “Limitations of Use” Section above, Calling Home does not control any Member Content that is shared during such events.

(b) By participating in a Live Event, including our Open House and Overthinkers Anonymous groups, you acknowledge and agree to the following: (i) such Live Events are designed to allow you to participate in sessions with other users that address topics of shared interest; (ii) such Live Events are not healthcare, mental health, or therapy services and do not involve diagnosis, assessment, mitigation, or treatment of any health condition, and you will not use a Live Event in place of your medical treatment; (iii) you are fully responsible for your physical and mental wellbeing while you are participating in a Live Event, including for all of your choices and decisions that may arise from or otherwise relate to your participation in a Live Event, and you expressly assume the risks of your participation in a Live Event; (iv) you are responsible for any information you share while participating in a Live Event, including any health or other sensitive information, you provide such information voluntarily and understand that such information may not be protected under any federal or state privacy law, and you have obtained all necessary consents if such information relates to any other person or individual; (v) you will maintain the confidentiality of any information shared by any other user during your participation in a Live Event; (vi) you will act in a courteous and respectful manner towards all users participating in Live Events; and (vii) notwithstanding anything in these Terms to the contrary, you waive and release Calling Home, and its employees, directors, and officers, from any and all liability, damages, causes of action, allegations, suits, sums of money, claims and demands whatsoever, you ever had, now have, or will have, arising from your past, present, or future participation in a Live Event, or otherwise with respect to a Live Event. If you do not agree to the foregoing terms, you will not participate in Live Events. Calling Home may terminate your participation in a Live Event at any time, in its sole discretion, for any reason, including, if you violate these Terms.

Intellectual Property; Member Content

The intellectual property in the materials contained in the Site (including, but not limited to, the content made available by Calling Home, and all other aspects of the Site, including any and all trademarks, logos, text, images, graphics, music, data, software, source code, and other information available through or as a part of the Site, and including the design, structure, selection, coordination, expression, “look and feel”, and arrangement of the Site) are owned by or licensed to Calling Home and are protected by applicable copyright and trademark law. We grant our users permission to download copies of the materials, as applicable, for personal, non-commercial transitory use. You may not: (i) sell, rent, lease, copy, reproduce, hyperlink, frame, republish, upload, post, modify, transmit, translate, encode, publicly display, or distribute in any way via any medium any such content or any other part of the Site without Calling Home’s express prior written consent; (ii) remove any proprietary notices or labels on such content; or (iii) attempt to disable, bypass, modify, defeat, or otherwise circumvent any digital rights management or other content protection system used on or as part of the Site.

This constitutes the grant of a license, not a transfer of title. This license shall automatically terminate if you violate any of these restrictions or the Terms, and may be terminated by Calling Home at any time. You acknowledge and agree that any breach of any provision of this “Intellectual Property; Member Content” Section would result in irreparable harm to Calling Home, for which money damages alone would be an inadequate remedy, and, therefore, you agree that Calling Home is entitled to injunctive relief to prevent or restrain any breach or threatened breach of this “Intellectual Property; Member Content” Section, in addition to any other remedies available at law or in equity.

Calling Home collects registration and other information about you through the Site. Please refer to our Privacy Policy for additional details on how we collect, use, and disclose this information.

You are responsible for the information, opinions, messages, comments, photos, videos, graphics, sounds and other content or material that you submit, upload, post or otherwise make available on or through the Site or at a Live Event (“Member Content”) and through the services available in connection with the Site. You shall be solely liable for any damage resulting from any infringement of copyrights, trademarks, proprietary rights, violation of contract, privacy or publicity rights or any other harm resulting from any Member Content that you make. You have full responsibility for any and all Member Content you make, including its legality, reliability and appropriateness.

You agree that any Member Content provided by you in connection with the Site is provided on a non proprietary and non-confidential basis. You hereby grant to Calling Home a non-exclusive, perpetual, irrevocable, royalty-free, fully paid-up, worldwide license (including the right to sublicense through multiple tiers) to use, reproduce, process, adapt, publicly perform, publicly display, modify, prepare derivative works, publish, transmit and distribute each of your Member Content, or any portion thereof, in any form, medium or distribution method now known or hereafter existing, known or developed, and authorize others to use the Member Content. We may modify or adapt your Member Content in order to transmit, display or distribute them over computer networks and in various media and/or make changes to the Member Content as necessary to conform and adapt them to any requirements or limitations of any networks, devices, services or media.

Paid Subscription Plans

Calling Home offers semi-annual and annual paid subscription plans in exchange for a fee payable in full in advance of each such six-month or annual subscription. Except as expressly set forth herein, all fees are non-refundable once paid. All fees are in U.S. dollars. Any promotional or “trial basis” discounts offered are temporary and will terminate at the end of the applicable promotional period, but may be terminated earlier in Calling Home’s sole discretion. You agree to pay the applicable subscription fee in exchange for access to the content relevant to your paid subscription plan. The fee we will initially charge you for your subscription will be the price posted on the Site on the date that you register as a member. Once we charge you for your first subscription fee, you will receive a confirmation e-mail welcoming you to the Calling Home community and notifying you of your ability to access the portions of the Site applicable to your paid subscription.

IMPORTANT NOTICE: CALLING HOME WILL AUTOMATICALLY RENEW YOUR MEMBERSHIP ON EACH SIX-MONTH OR YEARLY (AS APPLICABLE) ANNIVERSARY OF THE DATE THAT CALLING HOME FIRST CHARGES YOU FOR YOUR FIRST SUBSCRIPTION FEE AND, AS AUTHORIZED BY YOU DURING THE MEMBERSHIP SIGN-UP PROCESS, CALLING HOME WILL CHARGE YOU WITH THE APPLICABLE SIX-MONTH OR YEARLY (AS APPLICABLE) SUBSCRIPTION FEE AND ANY SALES OR SIMILAR TAXES THAT MAY BE IMPOSED ON YOUR SUBSCRIPTION FEE PAYMENT (UNLESS YOU CANCEL PRIOR TO THE ANNIVERSARY DATE). EACH SUBSCRIPTION RENEWAL PERIOD IS FOR SIX MONTHS OR ONE YEAR. YOU MAY CANCEL YOUR SUBSCRIPTION AT ANY TIME THROUGH YOUR ACCOUNT SETTINGS, PROVIDED THAT ANY SUBSCRIPTION FEES CHARGED PRIOR TO THE EFFECTIVE DATE OF CANCELLATION WILL NOT BE REFUNDED, IN WHOLE OR IN PART. YOU WILL NOT BE ELIGIBLE FOR A PRO-RATED REFUND OF ANY PORTION OF THE SUBSCRIPTION FEES PAID FOR THE REMAINING PORTION OF THE THEN-CURRENT SEMI-ANNUAL OR YEARLY (AS APPLICABLE) SUBSCRIPTION TERM. IF YOU CANCEL YOUR SUBSCRIPTION, YOU WILL HAVE FULL ACCESS TO YOUR MEMBERSHIP BENEFITS UNTIL THE EXPIRATION OF THE THEN-CURRENT SEMI-ANNUAL OR YEARLY (AS APPLICABLE) SUBSCRIPTION TERM FOR WHICH YOU HAVE PAID, AND YOUR MEMBERSHIP BENEFITS WILL EXPIRE AT THE END OF THE THEN-CURRENT SEMI-ANNUAL OR YEARLY (AS APPLICABLE) SUBSCRIPTION TERM.

AUTOMATIC RENEWAL TERMS: Each paid membership subscription contains automatic renewal terms. You agree that you will be charged the fee you agreed to (depending on your particular subscription) for the length of time you agreed to, and that your subscription will automatically renew on those same terms until you cancel at any time through your account settings page on the Site, and you have read and agree to our Terms of Service, Privacy Policy and Cookie Policy. You represent and warrant that you are authorized to use the payment method designated, and you authorize Calling Home and our designated third-party payment processors to charge your designated payment method upon registration and upon each renewal for the total amount of any fees you owe to Calling Home, including any applicable taxes and other charges. If the payment method cannot be verified, is invalid, or is otherwise not acceptable, your access to the Site and the content contained therein may be terminated. For subscription services, unless you submit a nonrenewal notice through the Site prior to the end of the then-current subscription term, your subscription will automatically renew. Applicable fees for such renewals will be at Calling Home’s then-current rates. If your subscription is not renewed, a cancellation will be effective on the next renewal date of your subscription following your notice of cancellation and your access to the fee-based content will terminate at the end of your then current subscription term. Calling Home reserves the right, in its sole and absolute discretion, to change its subscription plans or adjust its access fees or subscription fees at any time (but not the price in effect for your then-current subscription term). Any such changes will take effect following notice to you.

Refunds. We are confident that Calling Home will give you the resources and community you need to be a family cyclebreaker. And we know ending generational patterns takes time. That’s why we ask all members to commit to the membership and community for a minimum of 6 months (and ideally, 12 months). If you don’t find the tools and support you need, email hello@callinghome.co and let us know. If you email us within the first 30 days of initiation of your subscription requesting cancellation of your subscription and our team is unable to resolve your concerns, we will offer you a full refund; refunds will not be provided if you email us after the first 30 days of your initial subscription term. We will use commercially reasonable efforts to process your refund as promptly as is possible. Your membership benefits will expire upon completion of the refund request process.

Liability

TO THE MAXIMUM EXTENT PERMITTEDBY APPLICABLE LAW, OUR SITE, THE SERVICES AND THE MATERIALS ON OUR SITE ARE PROVIDED ON AN 'AS IS' AND ‘AS AVAILABLE’ BASIS. TO THE EXTENT PERMITTED BY LAW, CALLING HOME MAKES NO WARRANTIES, EXPRESSED OR IMPLIED, AND HEREBY DISCLAIMS AND NEGATES ALL OTHER WARRANTIES INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT OF INTELLECTUAL PROPERTY, OR OTHER VIOLATION OF RIGHTS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO CASE SHALL CALLING HOME BE LIABLE FOR ANY INJURY, LOSS, CLAIM, OR ANY DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING, WITHOUT LIMITATION, LOST PROFITS, LOST SAVINGS, LOSS OF DATA, OTHER ECONOMIC ADVANTAGE OR ANY SIMILAR DAMAGES, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, ARISING FROM: (A) YOUR USE OF THE CONTENT AVAILABLE ON THE SITE OR OTHER PARTS OF THE SITE; (B) THE SITE’S SECURITY, OPERABILITY, OR AVAILABILITY; (C) ANY INFORMATION, ADVICE, SERVICES, OR GOODS OBTAINED THROUGH OR ADVERTISED ON THE SITE; (D) STATEMENTS, CONDUCT, INTERACTIONS, OR DEALINGS WITH ANY OTHER SITE MEMBER OR THIRD PARTY; OR (E) ANY OTHER CLAIM RELATED IN ANY WAY TO THE SITE – EVEN IF ADVISED OF THE POSSIBILITY OF SUCH INJURY, LOSS, CLAIM, OR DAMAGES. Our liability to you or any third parties in any circumstance is limited to the greater of $100 or the amount of fees, if any, you paid to us in the twelve months prior to the action that may have given rise to liability. The limitations set forth in these Terms do not limit Calling Home’s liability for gross negligence, fraud, or intentional, malicious, or reckless misconduct.

Because some jurisdictions do not allow limitations on implied warranties, or limitations of liability for consequential or incidental damages, these limitations may not apply to you and shall be limited to the maximum extent permitted by law.If you are based in the EU, you may have additional legal remedies.

Indemnification

To the full extent permitted by applicable law, you agree to indemnify, defend, and hold Calling Home and its officers, directors, shareholders, employees, contractors, and agents harmless from any costs, damages, liabilities, and expenses (including attorneys’ fees and costs) suffered in relation to or arising from any claim or demand made by any third party due to or arising out of your violation of these Terms; your use, misuse, or abuse of the Site; your Member Content; your violation of any law, statute, ordinance or regulation; or your violation of the rights of a third party. You agree to cooperate with Calling Home in defending such claims and not to settle any claim without Calling Home’s prior written consent.

Accuracy of Materials; Not Professional Advice and No Professional Relationship Created

The materials appearing on our Site are not comprehensive and are for general information purposes only. Calling Home does not warrant or make any representations concerning the accuracy, likely results, or reliability of the use of the materials on the Site, or otherwise relating to such materials or on any resources linked to the Site.

Calling Home regularly updates the content available on the Site and may test certain content or Site features by making them available to you for limited periods of time or by making them available to a limited subset of the Calling Home community. In all cases, Calling Home reserves the right to make changes to, or remove from the Site, any or all content at any time without notice and without liability to you or third parties. Calling Home makes no guarantee as to the resolution or quality of the content you will receive when using the Site, even if you have paid for access to such content.

Calling Home is not engaged in rendering therapy services, mental health advice, clinical psychology advice, therapy or other medical advice or services by providing the Site, and your use of the Site does not create any therapist-patient or other treatment relationship between you and Calling Home or any of its representatives (including, but not limited to, Whitney Goodman LMFT). In furtherance, and not in limitation, of the “Liability” Section above, Calling Home assumes no responsibility for any consequence relating directly or indirectly to any action or inaction you take based on the content or other information or material on this Site. Reliance on any information provided by Calling Home, its representatives or others contributing to the Site at the invitation of Calling Home, or subscribers to the Site, is solely at your own risk. Right to Terminate

We may suspend or terminate your right to use our Site and terminate these Terms immediately upon written notice to you for any reason, including, without limitation, if we believe that you have breached or acted inconsistently with the letter or spirit of these Terms, if it is in the best interest of the Calling Home community, or to protect our brand. We may also in our sole discretion and at any time discontinue providing any or all content available on the Site or any other part of the Site, with or without notice. In the event that you have a paid subscription to the Site and we terminate your access to the Site for any reason other than your breach of these Terms, then we will refund you the prorated portion of any subscription fees which you have paid but not yet used with respect to the then-current term of your subscription. Except for the foregoing limited circumstance, you agree that we will not be liable to you or any third party for any termination of your access to the Site.

Severance

Any term of these Terms which is wholly or partially void or unenforceable is severed to the extent that it is void or unenforceable. The validity of the remainder of these Terms is not affected.

Governing Law; Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Florida, without respect to its conflict of laws principles. You irrevocably submit to the exclusive jurisdiction of the State or federal courts sitting in Pinellas County, Florida for the purposes of any suit, action or other proceeding arising out of or relating to these Terms.

WHERE PERMITTED UNDER APPLICABLE LAW, YOU AGREE TO BRING CLAIMS AGAINST CALLING HOME ONLY IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION. UNLESS CALLING HOME AGREES, NO ACTION OR COURT OF LAW MAY CONSOLIDATE MORE THAN ONE PERSON’S CLAIMS, OR OTHERWISE PRESIDE OVER ANY FORM OF A REPRESENTATIVE, CONSOLIDATED OR CLASS PROCEEDING, AGAINST CALLING HOME. YOU UNDERSTAND AND AGREE THAT BY ENTERING INTO THESE TERMS YOU AND CALLING HOME ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR OTHER REPRESENTATIVE PROCEEDING OF ANY KIND. NOTWITHSTANDING THE FOREGOING, PER THE “SEVERANCE” SECTION ABOVE, THIS SECTION SHALL BE DEEMED DELETED IN THE EVENT THAT IT IS ILLEGAL OR UNENFORCEABLE UNDER APPLICABLE LAW.

Notice

Except as expressly required by law or otherwise stated in these Terms, any notice to us shall be given by email to hello@callinghome.co (Attn: Legal), or by certified postal mail to Calling Home, LLC, 4592 Ulmerton Road, Suite 100, Clearwater, FL 33762, Attn: Legal. Any notice to you shall be given to the most current email address in your account.

Assignment

Calling Home may assign or transfer these Terms and its rights and obligations hereunder to any of its affiliates, successors or assigns, including in connection with a merger, acquisition, reorganization, sale of assets or similar transaction. You may not assign, transfer or sublicense these Terms or your rights or obligations hereunder without Calling Home’s prior written consent.

Other

The Site is controlled and operated from the United States. Those who access or use the Site from other jurisdictions do so at their own risk and are solely responsible for compliance with all applicable United States and local laws and regulations. You may not use the Site if you are a resident of a country embargoed by the United States, or are a foreign person or entity blocked or denied by the United States government. These Terms constitute the entire agreement between you and Calling Home with respect to the Site and supersede all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between you and Calling Home with respect to the Site. The intellectual property rights, disclaimer of warranties, representations made by you, indemnities, limitations of liability and general provisions shall survive any termination of these Terms.

Calling Home, LLC Privacy Policy

Your privacy is important to us. It is Calling Home's policy to respect your privacy and comply with any applicable law and regulation regarding any personal information we may collect about you, including across our Site and other sites we own and operate. Capitalized terms used herein but not otherwise defined herein shall have the meanings ascribed to such terms in our Terms of Service.

Personal information is any information about you which can be used to identify you. This includes information about you as a person (such as name, address, and date of birth), your devices, payment details, and even information about how you use a website or online service.

In the event our Site contains links to third-party sites and services, please be aware that those sites and services have their own privacy policies. After following a link to any third-party content, you should read their posted privacy policy information about how they collect and use personal information. This Privacy Policy does not apply to any of your activities after you leave our Site.

When may the right to erasure apply?

Right to Portability: Individuals have the right to get some of their personal data from an organization in a way that is accessible and machine-readable, for example as a csv file. Associated with this, individuals also have the right to ask an organization to transfer their personal data to another organization.

However, the right to portability:

  • only applies to personal data which a person has directly given to Calling Home in electronic form; and
  • onward transfer will only be available where this is “technically feasible”.

Right of rectification under PIPEDA
